Acceptance of Terms

By accessing or using the website at https://twistag.com ("the Site") or engaging Twistag Sociedade Unipessoal Lda ("Twistag", "we", "us", "our") for any service, you ("you", "the Client") agree to be bound by these Terms and Conditions. If you do not agree, please do not use the Site or our services.

Services

Twistag provides software and product engineering services, including AI agent development, data and cloud platforms, and AI-native product engineering. Specific services, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work or Service Agreement signed by both parties; those documents take precedence over these Terms in case of conflict.

Use of the Website

The Site and its content are provided for informational purposes. You agree not to:

  • Use the Site in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to any portion of the Site, our systems, or our clients' systems.
  • Reverse engineer, scrape at scale, or interfere with the proper functioning of the Site.
  • Use any content from the Site for commercial purposes without our written consent.

Intellectual Property

All content on the Site, including text, graphics, logos, code samples, case studies, and the underlying software, is owned by or licensed to Twistag and is protected by copyright, trademark, and other intellectual property laws. For client engagements, ownership of work product is governed by the relevant Service Agreement.

Confidentiality

Information shared between Twistag and a Client during a project is treated as confidential and used solely for the purpose of delivering the engagement, except where disclosure is required by law or expressly authorized in writing by the disclosing party.

Fees and Payment

Fees are set out in each Statement of Work. Unless otherwise agreed in writing, invoices are payable within 30 days of issue. Late payments may be subject to interest at the legal rate applicable in Portugal.

Warranties and Disclaimer

Twistag will perform services with reasonable skill and care in line with industry standards. The Site and any free content are provided "as is" without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or secure.

Limitation of Liability

To the fullest extent permitted by law, Twistag's total liability arising out of or in connection with these Terms or any engagement is capped at the fees paid by the Client to Twistag for the services giving rise to the claim in the twelve months preceding the event. We are not liable for indirect, consequential, or special damages, including loss of profits, revenue, or data. Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be limited under applicable law.

Data Protection and Privacy

Personal data is processed in accordance with our Privacy Policy. Where Twistag processes personal data on behalf of a Client, the parties will sign a separate Data Processing Agreement compliant with the GDPR.

Consumer Rights

If you are a consumer resident in the European Union, your statutory rights under applicable EU consumer-protection law are not affected by these Terms.

Termination

Either party may terminate an engagement in accordance with the relevant Service Agreement. Termination of an engagement does not terminate these Terms with respect to your continued use of the Site.

Governing Law and Jurisdiction

These Terms are governed by Portuguese law. Disputes arising out of or in connection with these Terms or any engagement are subject to the exclusive jurisdiction of the courts of Lisbon, Portugal, without prejudice to any mandatory consumer-law rights you may have to bring proceedings in your country of residence.

Changes to These Terms

We may update these Terms from time to time. The updated version is effective as of the date shown above. Continued use of the Site after changes constitutes acceptance of the updated Terms.
